BUSINESS/CORPORATE LAW Business/Corporate law refers to the law establishing separate legal entities, such as companies, partnerships or corporations. Once a legal entity has been established, it is generally treated as a separate legal identity from its members, partners or shareholders. There are several purposes and goals of maintaining a separate legal entity. One is limited liability of its members, partners or shareholders. Another is tax benefits. Depending upon the type of entity, the tax burden on the owners may be significantly different than if the business was operated individually. Additionally, a separate legal entity may be created for estate planning purposes. A separate legal entity, if properly registered with the state and run according to standard corporate formalities, can be a useful vehicle for a client to achieve the goals desired. As with other areas of law, one does not need an attorney to organize a limited liability company or partnership, or to incorporate a corporation. However, the lay of the business/corporate law land is littered with mines just waiting for the unprotected.
